Reply Terms of Service
1. The service
Reply is a local-first macOS desktop app: on your trigger it reads the current conversation and drafts send-ready reply candidates in your voice, plus voice dictation, relationships and to-dos, and calendar assistance.
Reply offers two ways to reach a model: (a) bring-your-own-key direct — requests go straight from your Mac to the provider you chose (our recommended privacy path); and (b) managed proxy after sign-in — requests are forwarded through our servers, metered by purpose with a daily quota. Some channel connections are optional.
2. Your account & responsibilities
- You are responsible for the accuracy and security of your account information and for safeguarding your credentials.
- You are responsible for activity under your account; notify us promptly of unauthorized access.
- You must have the right to process the conversations you let Reply read or send on your behalf, and comply with the terms of the relevant platforms (Slack, Gmail, etc.). You must be at least 18.
3. License & intellectual property
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Reply for your own purposes. Intellectual property in the Reply app, interface, trademarks, and technology belongs to us or the respective owners. You may not copy, modify, reverse engineer, or redistribute our software except as permitted by law.
Your content is yours. The conversations Reply reads and the drafts you generate or edit belong to you; we claim no ownership and process them only as described in the Privacy Policy to provide the service.
4. Fees & payment
Payments are handled by Ampliftai Inc. The billing model (one-time purchase, subscription, or quota) is as shown on the purchase page. Where payment for your region is processed by an affiliated entity, the payment page will identify it (e.g. "Payment may be processed by [affiliate]").
Except where the law requires or the purchase page states otherwise, fees are non-refundable. Price changes will be announced in advance and will not affect entitlements already purchased.
5. Acceptable use
You agree not to:
- abuse the service, exceed reasonable use, or bypass quota, security, or technical limits;
- reverse engineer, crack, or attempt unauthorized access to our systems;
- use Reply for illegal activity, to infringe others' IP or privacy, or to send harassing, deceptive, or harmful content;
- use Reply for automated mass sending, spam, or other uses that may harm third parties or platforms.
6. Third-party services
Reply relies on third-party vendors (model providers, Apple, Google, Slack, Composio, and others) for some features. When data is sent to them, their terms and policies also apply. We are not responsible for third-party availability or conduct beyond what the law requires. See Section 5 of the Privacy Policy for the provider list.
7. Disclaimer of warranties
Reply is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated reply candidates may be inaccurate, incomplete, or unsuited to a situation; you should review before sending and are responsible for what you finally send. We do not warrant uninterrupted or error-free operation.
8. Limitation of liability
To the maximum extent permitted by law, Ampliftai Inc. and its affiliates will not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of data, profits, or business), and our total liability for any claim will not exceed the greater of the amount you paid us for the service in the 12 months before the claim or US$50.
9. Termination
You may stop using Reply at any time. We may suspend or terminate your access if you breach these Terms, are overdue on fees, or engage in malicious activity. After termination, your local data remains on your device to export or delete; some information may be retained where the law requires.
10. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Before filing a claim, you agree to try to resolve it informally by contacting us. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction there, unless applicable local law grants you the right to your local courts.
11. Miscellaneous
These Terms and the Reply Privacy Policy (U.S. & International) form the entire agreement between you and us. If any provision is held invalid, the rest remain in effect. We may revise these Terms; material changes will be notified in-app or on the website, and continued use constitutes acceptance.
