本协议适用于中国大陆用户，是你与北京索菲亚飞轮科技有限公司之间就使用 Reply 达成的协议。安装、登录或使用 Reply，即表示你已阅读并同意本协议及《Reply 隐私政策（中国大陆）》。若你不同意，请勿使用。
1. 服务说明
Reply 是一款本地优先的 macOS 桌面应用：在你触发时读取当前对话，用你的语气生成可直接发送的回复候选，并提供语音听写、关系与待办、日历协助等功能。
Reply 提供两种模型接入方式：（a）自带 Key 直连——你的请求从本机直接发往你选择的模型服务商，我们推荐此隐私路径；（b）登录后的托管代理——通过我们的服务器转发模型请求，并按用途计量、设有每日额度。部分渠道连接为可选功能。
2. 账户与你的责任
- 你须对账户信息的真实、准确与安全负责，妥善保管登录凭据，不得转借他人。
- 你对在你账户下发生的活动负责；发现未经授权的访问应及时通知我们。
- 你须确保你有权处理你让 Reply 读取或代为发送的对话内容，并遵守相关平台（如微信、Slack、Gmail 等）的服务条款。
3. 授权与知识产权
在你遵守本协议的前提下，我们授予你一项有限、非独占、不可转让的许可，用于为自身目的使用 Reply。
Reply 应用、界面、商标及相关技术的知识产权归我们或相应权利人所有。未经明确授权，你不得复制、修改、反向工程或再分发我们的软件。
你的内容归你所有。你通过 Reply 读取的对话、生成或编辑的草稿属于你；我们不主张对其的所有权，仅为向你提供服务而按《隐私政策》所述进行必要处理。
4. 费用与付款
Reply 面向中国大陆用户的收款由北京索菲亚飞轮科技有限公司处理，支持人民币支付并可开具发票。具体计费方式（一次性买断、订阅或额度）以购买页面展示为准。
除法律强制规定或购买页面另有说明外，已支付的费用一般不予退还。价格调整将提前在应用内或官网告知，不影响你已购买的权益。
5. 可接受使用
你同意不会：
- 滥用服务、超出合理使用范围，或绕过额度、安全与技术限制；
- 反向工程、破解或试图未经授权访问我们的系统；
- 利用 Reply 从事违法活动、侵犯他人知识产权或隐私、发送骚扰或有害内容；
- 将 Reply 用于自动化大规模发送等可能损害第三方或平台的用途。
6. 第三方服务
Reply 依赖第三方服务商（模型服务商、Apple、Google、Slack、Composio 等）提供部分功能。当数据发送给这些服务商时，其各自的条款与政策同样适用。我们对第三方服务的可用性与行为不承担超出法律规定的责任。详见《隐私政策（中国大陆）》第 5 节的境外接收方清单。
7. 免责声明
Reply 按「现状」和「现有」提供。AI 生成的回复候选可能不准确、不完整或不适合具体情境；你在发送前应自行审阅并对最终发送的内容负责。在法律允许的最大范围内，我们不对服务的持续可用、无中断，或生成内容的准确性、适用性作出保证。
8. 责任限制
在法律允许的最大范围内，对因使用或无法使用 Reply 引起的间接、附带、惩罚性或后果性损失（包括数据丢失、利润损失、业务中断），我们不承担责任；我们的累计责任以你在主张发生前 12 个月内就该服务向我们支付的费用为限。本条不排除依法不可排除的责任。
9. 变更与终止
我们可能更新、暂停或终止部分或全部服务。若你违反本协议、长期欠费或从事恶意活动，我们可暂停或终止你的使用。终止后，你本机的数据仍在你的设备上，你可自行导出或删除；某些信息可能因法律要求而保留更长时间。
10. 适用法律与争议解决
本协议的订立、效力、解释与争议解决均适用中华人民共和国法律。因本协议引起的争议，双方应友好协商解决；协商不成的，任何一方可向服务提供方住所地（北京市海淀区）有管辖权的人民法院提起诉讼。
11. 其他
本协议与《Reply 隐私政策（中国大陆）》共同构成你与我们之间的完整协议。若本协议任何条款被认定无效或不可执行，其余条款仍然有效。我们可能不时修订本协议，重大变更将在应用内或官网通知；继续使用即视为接受修订后的条款。

These Terms apply to users in mainland China and form an agreement between you and Beijing Suofeiya Feilun Technology Co., Ltd. for using Reply. By installing, signing in, or using Reply, you confirm you have read and agree to these Terms and the Reply Privacy Policy (Mainland China). If you disagree, do not use Reply.
1. The service
Reply is a local-first macOS desktop app: on your trigger it reads the current conversation and drafts send-ready reply candidates in your voice, plus voice dictation, relationships and to-dos, and calendar assistance.
Reply offers two ways to reach a model: (a) bring-your-own-key direct — requests go straight from your Mac to the provider you chose (our recommended privacy path); and (b) managed proxy after sign-in — requests are forwarded through our servers, metered by purpose with a daily quota. Some channel connections are optional.
2. Your account & responsibilities
- You are responsible for the accuracy and security of your account information, for safeguarding your credentials, and for not lending them to others.
- You are responsible for activity under your account; notify us promptly of unauthorized access.
- You must have the right to process the conversations you let Reply read or send on your behalf, and comply with the terms of the relevant platforms (WeChat, Slack, Gmail, etc.).
3. License & intellectual property
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Reply for your own purposes.
Intellectual property in the Reply app, interface, trademarks, and technology belongs to us or the respective owners. You may not copy, modify, reverse engineer, or redistribute our software without express authorization.
Your content is yours. The conversations Reply reads and the drafts you generate or edit belong to you; we claim no ownership and process them only as described in the Privacy Policy to provide the service.
4. Fees & payment
Payments for users in mainland China are handled by Beijing Suofeiya Feilun Technology Co., Ltd., supporting RMB and invoicing. The billing model (one-time purchase, subscription, or quota) is as shown on the purchase page.
Except where the law requires or the purchase page states otherwise, fees paid are generally non-refundable. Price changes will be announced in-app or on the website in advance and will not affect entitlements you have already purchased.
5. Acceptable use
You agree not to:
- abuse the service, exceed reasonable use, or bypass quota, security, or technical limits;
- reverse engineer, crack, or attempt unauthorized access to our systems;
- use Reply for illegal activity, to infringe others' IP or privacy, or to send harassing or harmful content;
- use Reply for automated mass sending or other uses that may harm third parties or platforms.
6. Third-party services
Reply relies on third-party vendors (model providers, Apple, Google, Slack, Composio, etc.) for some features. When data is sent to them, their respective terms and policies also apply. Our responsibility for third-party availability and conduct is limited to what the law requires. See Section 5 of the Privacy Policy (Mainland China) for the overseas-recipient list.
7. Disclaimer
Reply is provided "as is" and "as available." AI-generated reply candidates may be inaccurate, incomplete, or unsuited to a specific situation; you should review before sending and are responsible for what you finally send. To the maximum extent permitted by law, we make no warranty of uninterrupted availability or of the accuracy or fitness of generated content.
8. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, punitive, or consequential loss (including data loss, lost profits, business interruption) arising from use or inability to use Reply; our aggregate liability is capped at the fees you paid us for the service in the 12 months before the claim arose. This clause does not exclude liability that cannot be excluded by law.
9. Changes & termination
We may update, suspend, or discontinue part or all of the service. If you breach these Terms, are long overdue on fees, or engage in malicious activity, we may suspend or terminate your access. After termination, your local data remains on your device to export or delete; some information may be retained longer where the law requires.
10. Governing law & disputes
The formation, validity, interpretation, and dispute resolution of these Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved by good-faith negotiation; failing that, either party may sue in a competent People's Court at the provider's domicile (Haidian District, Beijing).
11. Miscellaneous
These Terms and the Reply Privacy Policy (Mainland China) form the entire agreement between you and us. If any provision is held invalid or unenforceable, the rest remain in effect. We may revise these Terms from time to time; material changes will be notified in-app or on the website, and continued use constitutes acceptance.
